As at 21 September 2026<\/strong> Valid exclusively for business customers (B2B)<\/strong> Applies to all business areas: procurement and sourcing, production, promotional items, consultancy, dispatch services, and air, sea and rail freight<\/strong><\/p>\n These General Terms and Conditions apply to all business relationships between Swissasia Trading GmbH, Waldeggstrasse 37, 9244 Niederuzwil, Switzerland, and its customers.<\/p>\n They are intended exclusively for businesses entering into the contract in the course of their commercial or professional activities. If parts of the service are provided by group companies or partner companies abroad, this does not affect the identity of the contracting party.<\/p>\n 3.1 Tenders<\/strong> Our written quotations are binding for the period specified therein. If no period is specified, they are valid for 10 days.<\/p>\n 3.2 Formation<\/strong> A contract is formed upon the customer\u2019s written acceptance of our quotation or upon our written confirmation of the order.<\/p>\n 3.3 Precedence of individual agreements<\/strong> Any individual written agreements shall take precedence over these General Terms and Conditions.<\/p>\n 4.1 Prices<\/strong> The currency specified in the quotation shall apply. All prices are exclusive of VAT, unless otherwise stated. Customs duties, import charges and fees are not included, unless expressly agreed.<\/p>\n 4.2 Currency and exchange rate<\/strong> Invoices are issued in the currency specified in the quotation. If, at the customer\u2019s request, an invoice is issued in a different currency, the exchange rate applicable at the time of invoicing shall apply. Significant fluctuations in exchange rates between the date of the quotation and the date of the order confirmation entitle the supplier to make an appropriate adjustment.<\/p>\n 4.3 Price changes<\/strong> Price changes may occur in the following cases:<\/p>\n If external costs rise, we reserve the right to adjust our prices accordingly.<\/p>\n 4.4 Payment methods<\/strong> Prepayment, bank transfer, invoice following a credit check. A deposit is usually required for custom-made products and procurement orders.<\/p>\n 4.5 Late payment<\/strong> In the event of late payment, the following shall apply:<\/p>\n 5.1 Delivery times<\/strong> Delivery times are not binding unless they have been expressly stated in writing as being binding.<\/p>\n 5.2 Permissible delays<\/strong> Delays caused by suppliers, transport and logistics, customs, material shortages, international procurement or force majeure shall result in a reasonable extension of the delivery period. Claims for damages arising from delayed delivery are excluded, unless we are found to be at fault due to wilful misconduct or gross negligence (Art. 100 OR).<\/p>\n 5.3 Fixed dates<\/strong> Fixed deadlines are only valid if we have confirmed them as such in writing.<\/p>\n 5.4 Incoterms and the transfer of risk<\/strong> For international deliveries, the agreed Incoterms in their currently valid version apply (e.g. EXW, FOB, CIF, DAP). Unless otherwise agreed, the risk passes to the customer upon handover to the first carrier.<\/p>\n 5.5 Zoll, Imports and Duties<\/strong> Customs clearance, import duties, taxes and official charges shall be borne by the customer, unless expressly agreed otherwise. The customer is responsible for the accuracy of the information provided regarding the goods, their value and their origin.<\/p>\n 5.6 Transport insurance<\/strong> We only take out transport insurance at the customer\u2019s express request and at their expense.<\/p>\n 5.7 Freight services<\/strong> Where we provide air, sea or rail freight as a service in our own right, the terms and conditions of the relevant transport company commissioned shall apply in addition. Transit times for international transport are indicative only and are not guaranteed.<\/p>\n The goods remain the property of Swissasia Trading GmbH until full payment has been made.<\/p>\n 7.1 Obligation to carry out checks<\/strong> The customer must inspect the goods immediately upon receipt.<\/p>\n 7.2 Notice of defects<\/strong> Any obvious defects must be reported in writing within 5 days of receipt. Reports made after this period shall be deemed late. Hidden defects must be reported in writing immediately upon their discovery.<\/p>\n 7.3 Tolerances<\/strong> The following are standard practice within the industry and are not considered defects:<\/p>\n 7.4 Rectification<\/strong> We shall, at our discretion, provide a replacement, carry out repairs or grant a price reduction. Withdrawal from the contract is only possible if the repairs fail.<\/p>\n 8.1 Binding nature of approvals<\/strong> Approvals of layouts, graphics, embroidery programmes, production samples and pre-production samples are binding \u2014 even if they are given by email or via an upload portal. Once approval has been granted, changes may only be made subject to a separate agreement and upon payment of any additional costs incurred as a result.<\/p>\n 8.2 Exclusion of returns and cancellations<\/strong> Bespoke items and goods procured to order cannot be cancelled or returned.<\/p>\n 8.3 Rights to templates<\/strong> The customer warrants that they hold the rights to the logos, graphics and templates supplied by them, and indemnifies us against any claims by third parties.<\/p>\n 9.1<\/strong> We accept unlimited liability for damage caused intentionally, through gross negligence, or resulting in death, personal injury or damage to health.<\/p>\n 9.2<\/strong> In cases of slight negligence, we shall only be liable for breaches of material contractual obligations.<\/p>\n 9.3<\/strong> Under clauses 9.1 and 9.2, liability for indirect and consequential damages, loss of turnover, business interruption, loss of profit and loss of use is excluded.<\/p>\n 9.4<\/strong> We shall only be liable for delays and damage occurring during international transport to the extent of the liability of the relevant carrier.<\/p>\n The following also applies to procurement and sourcing services:<\/p>\n We select suppliers with due care. We shall not be liable for their services to any extent beyond that covered by our own claims against those suppliers.<\/p>\n Returns are only permitted with prior written authorisation.
